1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Foresights ("we," "our," or "us") governing your access to and use of the Foresights platform, including any content, functionality, and services offered through our website (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

2. Eligibility

To use our Service, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws
• Be invited by an existing member or approved through our waitlist

Foresights is an invite-only community. Access is granted at our sole discretion, and we reserve the right to deny or revoke access for any reason.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 One Account Per Person

You may only maintain one account. Creating multiple accounts may result in termination of all accounts.

4. User-Generated Content

4.1 Your Content

Our Service allows you to post, submit, and share content, including threads, articles, experiments, comments, and other materials ("User Content"). You retain ownership of your User Content, subject to the license granted below.

4.2 License to Foresights

By posting User Content, you grant Foresights a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, display, distribute, and create derivative works of your User Content in connection with operating and improving the Service. This license continues even if you delete your content or account, to the extent your content has been shared with or viewed by others.

4.3 Content Representations

You represent and warrant that:

• You own or have the necessary rights to post your User Content
• Your User Content does not infringe any third-party rights, including intellectual property, privacy, or publicity rights
• Your User Content complies with these Terms and all applicable laws
• Your User Content is accurate and not misleading

4.4 Content Moderation

We reserve the right, but have no obligation, to monitor, edit, or remove User Content at our sole discretion. Content may be moderated using automated systems or human review. We are not responsible for any User Content posted by users.

5. Prohibited Conduct

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Post spam, advertisements, or promotional content without authorization
• Harass, abuse, threaten, or intimidate other users
• Post content that is defamatory, obscene, hateful, or discriminatory
• Impersonate any person or entity or misrepresent your affiliation
• Share misleading or false information about marketing experiments or results
• Attempt to gain unauthorized access to other users' accounts or our systems
• Use automated scripts, bots, or scraping tools without our written permission
• Interfere with the proper functioning of the Service
• Circumvent or disable any security features of the Service
• Sell, resell, or commercially exploit the Service without authorization
• Collect or harvest personal information of other users
• Use the Service to send unsolicited communications

6. Community Guidelines

Foresights is a professional community for marketing operators. To maintain the quality and integrity of our community, you agree to:

• Share genuine experiences: Post authentic experiments, learnings, and insights based on real work.
• Respect confidentiality: Do not share proprietary information or data without proper authorization.
• Engage constructively: Provide thoughtful feedback and participate in good faith discussions.
• Acknowledge failures: Share learnings from failed experiments—they're valuable to the community.
• Avoid self-promotion: Do not use the platform primarily to promote your products, services, or courses.
• Credit sources: Attribute ideas, strategies, and content to their original sources when applicable.

7. Intellectual Property

7.1 Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are owned by Foresights and are protected by copyright, trademark, and other intellectual property laws. Our name, logo, and all related marks are our trademarks and may not be used without our prior written permission.

7.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

9. Termination

9.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

9.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Violation of community guidelines
• Conduct that we determine is harmful to other users or the community
• Request by law enforcement or government agencies
• Extended periods of inactivity

9.3 Effect of Termination

Upon termination, your right to access the Service will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The results from using the Service will be accurate or reliable
• The quality of any content obtained through the Service will meet your expectations
• Any errors in the Service will be corrected

User Content represents the views of individual users and does not reflect our views. We do not verify the accuracy of User Content, including marketing experiments, results, or strategies shared by users. You should independently verify any information before relying on it.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FORESIGHTS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any User Content obtained from the Service
• Unauthorized access, use, or alteration of your content or data

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Foresights and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another party.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before filing a formal dispute, you agree to try to resolve any dispute informally by contacting us. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days, either party may proceed with formal dispute resolution.

13.3 Arbitration

Any dispute arising out of or relating to these Terms that cannot be resolved informally shall be finally resolved by binding arbitration. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English, and the arbitrator's decision shall be binding and may be entered as a judgment in any court of competent jurisdiction.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Foresights regarding your use of the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
