Terms of Service

Foresights provides digital marketing, growth systems, automation, and related consulting services for hyperlocal businesses. Our services include but are not limited to paid advertising management, search engine optimization, content creation, CRM setup, automation workflows, and analytics dashboards.

The specific scope of services for each partnership is defined in your signed proposal or service agreement. These Terms apply in addition to any specific terms outlined in individual agreements.

Our services are structured in 3-month partnership cycles. By engaging with Foresights, you agree to the minimum commitment period outlined in your chosen tier.

Each tier includes a defined set of deliverables. Any services requested outside the scope of your tier will be quoted separately and require written agreement before work begins.

Payment is due as outlined in your service agreement. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes unless stated otherwise.

Ad spend budgets are separate from service fees and are paid directly to advertising platforms (Google, Meta, etc.) unless otherwise arranged.

Late payments may result in pausing of active campaigns and services until the outstanding balance is cleared. We reserve the right to charge interest on overdue amounts at 1.5% per month.

To deliver effective results, we require your cooperation. You agree to:

• Provide timely access to business accounts, assets, and information necessary for service delivery

• Respond to requests for approvals, feedback, and content within reasonable timeframes

• Ensure all information provided to us is accurate and up to date

• Maintain active ad platform accounts and ensure sufficient ad spend budgets

Delays caused by lack of client responsiveness may impact timelines and results. Foresights is not liable for underperformance caused by delayed approvals or withheld access.

Your Content: You retain ownership of all your existing business content, brand assets, logos, and materials provided to us.

Our Deliverables: Creative assets, ad copy, landing pages, automation workflows, and other materials we produce for you become your property upon full payment for the engagement period in which they were created.

Our Systems: Proprietary frameworks, methodologies, tools, templates, and processes used to deliver services remain the intellectual property of Foresights. You receive a license to use outputs generated by these systems but not the systems themselves.

Both parties agree to keep confidential any proprietary or sensitive information shared during the partnership. This includes business strategies, financial data, customer information, and campaign performance data.

This obligation survives the termination of our partnership for a period of 2 years.

Digital marketing results depend on many factors including market conditions, competition, ad platform algorithms, seasonality, and consumer behavior. While we apply proven systems and strategies, we cannot guarantee specific outcomes such as revenue figures, lead volumes, or ranking positions.

Past performance shared in case studies and testimonials reflects real results from specific businesses under specific circumstances and should not be interpreted as guaranteed outcomes for your business.

Either party may terminate the partnership by providing written notice as specified in the service agreement. Early termination within a commitment period may be subject to an early exit fee as outlined in your agreement.

Upon termination, we will provide an orderly handover of all accounts, assets, and access credentials. Any outstanding payments remain due regardless of termination.

To the maximum extent permitted by law, Foresights' total liability for any claims arising from our services is limited to the total fees paid by you in the 3-month period immediately preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or business interruption, regardless of the cause of action.

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

We may update these Terms from time to time. Material changes will be communicated to active partners via email. Continued use of our services after changes constitutes acceptance of the updated Terms.
